UniPOS is a software-as-a-service platform and POS technology provider offering online POS services, installed POS software, downloadable software, subscriptions, and custom POS development.
UniPOS operates as a subsidiary of Dot Com One and is based in Colombo, Sri Lanka.
By accessing our website, purchasing our services, installing our software, subscribing to our platform, or requesting custom development, you agree to these Terms and Conditions.
By using UniPOS, you agree to comply with these Terms and Conditions and all applicable laws and regulations.
If you do not agree with these terms, you should not use UniPOS services.
UniPOS may provide:
Features, pricing, availability, and functionality may vary between products and plans.
Where an account is required, customers are responsible for providing accurate information.
Customers are responsible for protecting their usernames, passwords, license keys, and other authentication information.
You are responsible for activities performed through your account.
UniPOS may offer monthly and yearly subscription plans.
Subscriptions may automatically renew where automatic renewal is enabled or agreed to during purchase.
Customers may cancel their subscription according to the applicable cancellation procedure.
The Refund & Cancellation Policy applies to subscription refunds.
If a subscription expires, UniPOS may restrict access to subscription-based online services after a 2-day grace period.
Locally stored POS information is not automatically deleted merely because the subscription expires.
UniPOS software may store business information locally on the customer's device.
Customers are responsible for their own business data and backups.
UniPOS does not intentionally delete locally stored customer data simply because a subscription expires.
Customers acknowledge that data may be lost due to:
Customers should maintain appropriate backups.
UniPOS provides custom POS development services for customers requiring functionality tailored to their business.
Custom projects may require a 50% initial payment before development begins, with the remaining balance payable upon completion or according to agreed project milestones.
Project scope, features, delivery requirements, pricing, and milestones may be agreed separately between UniPOS and the customer.
UniPOS has developed and owns its underlying POS software foundation and technology.
Custom POS systems are developed using this foundation and extended or modified according to the customer's requirements.
The customer does not automatically acquire ownership of the underlying UniPOS foundation merely by paying for a customized POS system.
UniPOS retains ownership of:
UniPOS may use and further develop these technologies for other customers and projects.
UniPOS will make reasonable efforts to develop custom functionality according to the agreed project requirements.
Changes outside the original project scope may require additional fees, development time, or a separate agreement.
All UniPOS trademarks, logos, software, source code, designs, documentation, systems, architecture, and proprietary technologies remain the property of UniPOS or its applicable licensors unless otherwise agreed in writing.
Customers may not:
Customers retain responsibility for information and business data entered into their POS system.
Customers are responsible for ensuring that they have the legal right to use any data, images, product information, customer information, or other content entered into the system.
Customers must not use UniPOS to unlawfully collect, process, distribute, or misuse information.
You agree not to use UniPOS for:
UniPOS may suspend or terminate access where reasonably necessary because of:
UniPOS will not suspend or terminate an account solely because of non-payment without following the applicable subscription and grace-period process.
Payments may be processed through third-party payment providers.
UniPOS does not directly store complete payment-card information.
Customers are responsible for providing accurate billing information and paying applicable charges.
Refunds are governed by the UniPOS Refund & Cancellation Policy.
By purchasing UniPOS services, you acknowledge that the Refund & Cancellation Policy forms part of these Terms.
UniPOS will make reasonable efforts to maintain the availability and functionality of its online services.
However, uninterrupted availability cannot be guaranteed.
Services may become temporarily unavailable because of:
UniPOS may release updates, improvements, security patches, bug fixes, or new features.
Certain updates may be required for continued compatibility, security, or functionality.
UniPOS may rely on third-party services such as payment providers, hosting providers, infrastructure providers, and other technology providers.
UniPOS is not responsible for failures caused directly by independent third-party services beyond its reasonable control.
UniPOS services are provided on an "as available" basis.
While UniPOS aims to provide reliable and useful software, we do not guarantee that the software will always be completely error-free, uninterrupted, or suitable for every possible business requirement.
Customers are responsible for determining whether a particular UniPOS solution is suitable for their business.
To the maximum extent permitted by applicable law, UniPOS, its owners, directors, employees, affiliates, and service providers shall not be liable for indirect, incidental, special, consequential, or business losses arising from the use or inability to use UniPOS services.
This may include loss of profits, business interruption, or loss of data, except where liability cannot legally be excluded.
Nothing in these Terms is intended to exclude rights or liabilities that cannot legally be excluded under applicable law.
Because certain UniPOS POS solutions use local storage, customers are responsible for maintaining appropriate backups of important business information.
UniPOS recommends maintaining regular backups using suitable storage methods.
UniPOS may modify, improve, replace, or discontinue features or services when reasonably necessary.
Where significant changes affect paid services, UniPOS may provide appropriate notice where reasonably practicable.
UniPOS may update these Terms and Conditions from time to time.
Updated terms will be published on the UniPOS website with a revised "Last Updated" date.
Continued use of UniPOS services after an update may constitute acceptance of the revised terms, subject to applicable law.
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Sri Lanka.
Any disputes arising in connection with these Terms or UniPOS services shall be subject to the applicable courts and legal jurisdiction of Sri Lanka.
